Service Acknowledgement

1. General

All terms not defined in these Terms and Conditions shall have the meanings ascribed to them in the Bree Health USER Agreement. In case of conflict between the USER Agreement and these Terms and Conditions, the USER Agreement prevails.

 

2. Confidentiality

Both parties agree to keep confidential and not disclose any proprietary or confidential information obtained through this Agreement, either during its term or after termination, unless otherwise required by law or with prior written consent.

 

Upon termination, neither party may take or retain documents, records, or files without written authorization.

 

Injunctive relief is permitted to enforce confidentiality obligations, without requiring a bond.

 

3. Compliance with Laws

Each party agrees to comply with all applicable laws, rules, and regulations governing their activities.

 

4. Disclaimer

User makes no representations or warranties, express or implied, regarding the services provided hereunder.

 

5. Indemnification

User agrees to indemnify, protect, and hold harmless Bree Health (and its officers, directors, employees, agents, representatives, and affiliates) from any liability, losses, damages, claims, costs, and expenses (including reasonable attorney’s fees) arising from User’s negligent performance of services or breach of this agreement, up to the limit of User’s professional liability insurance coverage.

 

At Bree Health’s request, User will provide proof of such insurance for the duration of this agreement.

 

6. Limitations on Liability

User’s liability to Bree Health will not exceed five (5) times the amount of fees paid by Bree Health under this Agreement.

 

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties regarding the subject matter and supersedes all prior agreements, whether written or oral, except for any separate confidentiality agreements.

 

8. Succession and Assignment

Neither party may assign this Agreement without the other’s prior written consent. However, Bree Health may assign this Agreement to an affiliate or any party acquiring its assets or business without User’s consent.

 

9. Amendments / Waiver

This Agreement may only be amended or waived by a written instrument signed by both parties. No delay or partial exercise of rights shall constitute a waiver.

 

10. Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full force and effect.

 

11. Notices

Notices must be in writing and delivered:

  • In person (effective upon delivery),
  • By certified or registered mail (effective 72 hours after deposit),
  • By overnight courier (effective 24 hours after deposit).

12. Governing Law and Venue

This Agreement shall be governed by New York law. All disputes shall be resolved exclusively in courts located in Broome County, New York.

I. Information We Collect

We collect two types of information:

 
  • Non-Personal Information : anonymous usage data, browser type, referring URLs, etc.
  • Personal Information : name, email address, physical address, date of birth, phone number, etc., collected when you register or use our services.
 

We also use cookies and similar tracking technologies to improve user experience and analyze trends.

 

II. How We Use and Share Information

  • We do not sell or share your Personal Information for marketing purposes without your consent.
  • We may share information with vendors performing services on our behalf (e.g., email communications).
  • We may disclose information if legally required or to protect our users’ safety or rights.
 

Non-personal information may be shared freely for analytics, advertising, or research.

 

III. How We Protect Information

We implement encryption, firewalls, and secure protocols to protect your data. However, no method of transmission over the internet is 100% secure.

 

You are responsible for keeping your password secure and logging out after each session.

 

IV. Your Rights Regarding Your Personal Information

You may opt out of promotional emails at any time. You may also request access to your data or deletion (subject to legal retention requirements).

 

Administrative emails (e.g., policy updates) may still be sent regardless of marketing preferences.

We are not responsible for the content or privacy practices of third-party websites linked from our Site.

 

VI. Changes to Our Privacy Policy

We reserve the right to update this policy. Significant changes will be communicated via email or prominent notice on our Site.

Informed Consent – eni Employee Assistance Program (EAP)

eni EAP offers holistic wellness support including counseling, teletherapy, coaching, health advocacy, and more.

 

The Therapeutic Process

Treatment outcomes depend on your active participation. The process may involve discomfort as you explore past experiences and emotions.

 

Client Rights and Responsibilities

As a client, you have the right to:

 
  • A safe environment
  • Collaborate on goals
  • Ask questions about services
  • Refuse recommendations
  • Access your records
  • Request a different provider
  • Terminate services at any time
 

Confidentiality

All EAP communications are confidential within legal limits. Exceptions include:

 
  • Risk of harm to self or others
  • Suspected abuse or neglect
  • Court orders or subpoenas
  • Legal proceedings involving mental health
  • Emergency situations requiring intervention
 

Duty to Warn

If the EAP provider believes you are a danger to yourself or others, they may warn the person at risk and contact authorities or family members.

 

Emergencies

For mental health emergencies, call 911 or go to the nearest emergency room.

Appointments and Cancellations

A minimum of 24-hour notice is required for cancellations. Missed appointments without notice will reduce your authorized session count.

 

Sessions

Sessions typically last 30 minutes. If you are late, your session time may be reduced accordingly.

 

Termination

Termination can occur due to:

 
  • Completion of sessions
  • Achievement of goals
  • Non-attendance
  • Need for specialized care
 

Clients may be referred to qualified professionals if needed.

 

Telehealth

Telehealth includes phone calls, video conferencing, and online communication. It is not an emergency service.

 

Risks of Telehealth:

 
  • Unauthorized access
  • Technical issues
  • Limited observation capabilities

  • I understand the risks and benefits of telehealth.
  • I have had the opportunity to ask questions.
  • I agree to maintain confidentiality and not share appointment links.
 

Minors

Legal guardians may receive limited information about services provided to minors. Guardians must sign consent forms.

 

Satisfaction Policy

If dissatisfied with services, contact your EAP provider or the Program Manager at 1-800-364-4748.

 

Terms for Direct-Pay Clients (NexGen / Bree Health)

Services and Sessions

  • Sessions available in blocks of 4, 6, or 8 sessions
  • Blocks must be purchased in advance
  • Appointments cannot be scheduled until payment is received
 

Refund and Cancellation Policy

  • All purchases are non-refundable
  • Missed appointments or cancellations with less than 30 minutes notice count as completed sessions
  • Sessions must be used within 90 days of purchase; unused sessions will be forfeited
 

Use of Service

  • Intended for individuals aged 18+
  • Purchasers affirm they are 18 years or older
 

Privacy

Please review our Privacy Policy before using our services.

 

Disclaimer

Our services do not constitute medical advice. In case of emergency, call 911.

 

Limitation of Liability

We are not liable for indirect, consequential, exemplary, incidental, special, or punitive damages.

 

Governing Law

These Terms are governed by the laws of the country where NexGen / Bree Health is located.

 

By purchasing coaching sessions, you agree to abide by these terms and conditions.

 

Acknowledgment and Consent

I hereby give my consent to be seen by a provider associated with the eni Employee Assistance Program. I consent to the use of telehealth services and electronic modes of communication with eni professionals.

 

I understand that the EAP provides problem assessment, diagnosis, interventions, and short-term counseling and coaching services.

 

If necessary, I understand that referrals outside the EAP (e.g., medication consultation) will be made available.

 

Consent for Minors (If applicable)

I certify that I am the legal parent/guardian of the minor client and grant permission for eni EAP to provide services to my child. I have the legal right to do so and am not being coerced.
